Conducting a Board of Directors Meeting

How to assemble a board pack

A board meeting is a challenging task that requires a thorough agenda and background information for each of the participants. It’s also important to keep the discussion focused on the most important issues and issues that your business faces.

To begin, the presiding officer calls the meeting to order at the scheduled start time and makes sure that there is a quorum present. The board meeting continues to discuss any reports from officers or committees that need to be approved. The board will go over any key performance indicators (KPIs) that have been established for the company to ensure they’re meeting their goals.

Then the board will discuss new policies to be enacted and ways to improve current processes. Finally, the board will discuss any upcoming events or leadership changes that require discussion at the next meeting.

The distraction of new discussion topics can eat the time of your meetings and distract your board from the most critical issues. To avoid this, it is ideal to set up an agenda that lets directors «park» topics for future meetings to be discussed or explored. It’s also recommended that board members pre-meet the chair or other directors to get their questions answered prior to the meeting and concentrate on the strategic issues. This will help avoid unnecessary meeting time and ensure a productive and efficient board of directors meeting.
